By accessing or using Kalypso's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.
Kalypso provides documentary intelligence services, including corpus structuring, evidence mapping, and auditable workspace solutions ("Services"). Our Services are provided on a project-by-project basis or via subscription.
2.1 Professional Services
We provide hands-on delivery for structuring private document archives. Services are scoped and priced per engagement.
2.2 No Generic AI Solution
Kalypso is not a self-service SaaS platform. We operate as a technical partner for sensitive matters requiring human-in-the-loop validation.
3.1 Data Provision
You are responsible for providing accurate, complete, and legally obtained data. You warrant that you have the right to share all documents provided to Kalypso.
3.2 Confidentiality
You must not disclose any proprietary information about our methods, processes, or internal systems without prior written consent.
3.3 Compliance
You agree to comply with all applicable laws and regulations when using our Services.
4.1 Your Data
You retain all rights to your source documents. We claim no ownership over client data.
4.2 Our Methods
All methodologies, workflows, software, and deliverable formats developed by Kalypso remain our intellectual property.
4.3 Deliverables
Upon full payment, you receive a perpetual license to use structured outputs for internal business purposes only.
5.1 Pricing
Fees are determined per engagement based on corpus size, complexity, and timeline. Pricing is agreed upon before work begins.
5.2 Payment Terms
Unless otherwise specified, invoices are due within 30 days of issuance. Late payments may incur interest at 1.5% per month.
5.3 No Refunds
Due to the bespoke nature of our work, fees are non-refundable once work has commenced.
6.1 No Legal Advice
Kalypso provides technical services only. We are not a law firm and do not provide legal advice.
6.2 No Warranties
Services are provided "as is" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
6.3 Limitation of Liability
To the maximum extent permitted by law, Kalypso's total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the fees paid by you for the specific service giving rise to the claim.
6.4 Exclusion of Consequential Damages
Kalypso shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
7.1 Confidentiality
We treat all client data as strictly confidential. We do not share, sell, or disclose your data to third parties except as required by law or with your explicit consent.
7.2 Security Measures
We implement industry-standard security measures. However, no system is 100% secure. You acknowledge the inherent risks of electronic transmission.
7.3 Data Retention
Upon project completion, we retain your data only as long as necessary for legal or operational purposes, unless you request earlier deletion.
Either party may terminate an engagement with written notice if the other party breaches these Terms. Fees for work completed up to the termination date remain due.
9.1 Governing Law
These Terms are governed by the laws of France, without regard to conflict of law principles.
9.2 Dispute Resolution
Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC), conducted in Geneva, Switzerland.
9.3 Jurisdiction
For matters not subject to arbitration, the courts of Annemasse, France shall have exclusive jurisdiction.
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of Services after changes constitutes acceptance.
